Company formation
The German-Irish Chamber of Industry and Commerce can facilitate and organize the set up of your Private Limited Company which can be registered in just a few weeks.
The founders should decide on the following points before the start of the procedure:
- Company Name- The Chamber can do a search on whether the intended name is
available.
- Main activity of the company
- Number of Shareholders (Subscribers)- This is important, as the text of the Memorandum
and the Articles of Association will differ depending on whether one Shareholder or several
Shareholders are involved.
- Name(s) of the Shareholder(s)- Will the Shareholder(s) be beneficiarie(s) or act as
trustee(s)? The Chamber can nominate individuals who are prepared to act as trustee.
- Nomination of two Directors- The minimum number of Directors is two (with at least one being
an Irish resident). The name, address, occupation, nationality, date of birth and other
directorships are required.
- Nomination of the Company Secretary- His/her function is to ensure the fulfillment of the
formal requirements imposed by Irish Company Law. The Secretary may be one of the
Directors but should for practical reasons be Irish. The Chamber can forward names of
experienced Company Secretaries.
- Registered Office- The Chamber offers the option of having the Company registered at its
address for up to three months.
