Employee Incentive Schemes

 

Encouraging employee share ownership may be part of a company’s overall culture or a mechanism to provide employees with tax efficient benefits.  

There are many types of schemes available and many reasons to put one in place. Gillian Dully will briefly outline the various types of employee incentive arrangements available in Ireland and identify the key issues employers should take into account when considering setting up a share scheme or other employee incentive arrangements.

New Rules on Beneficial Ownership

Previously Irish companies did not have to keep records of the beneficial owners of its shares. The ultimate owners of shares could disguise their holdings by allowing a nominee to hold shares in trust for them. New far reaching rules on the identity of beneficial owners of companies and other legal entities now prevents this.  

Companies and other legal entities incorporated in Ireland are now required to take all reasonable steps to gather and maintain adequate, accurate and current information on their “beneficial owners” on a beneficial ownership register. Potentially this register may be made public.

Damien Barnaville will look at the challenges and considerations associated with complying with the new rules.
